Investment Banking: Smaller banks playing the significant role

Investment banking is a system which provides for investment banks that offer significant services such as capital raising, mergers and acquisition advising, general advisory services and many others. An investment bank basically assists a firm to raise funds in order to achieve its objectives like to acquire a company, to reduce the debt load, to expand its present operations and others. Unlike the common notion that a capital is raised from stock offerings, the investment banking affords capital raising through private placements. The investment banks work with clients to ensure that the transaction is able to meet the objectives of the clients and at the same time make it attractive to investors. In terms of mergers and acquisitions, the investment banks assist and represent the firm in the acquisition of another firm or property, in the merger of the firm with another firm, in the sale or purchase of shares and in any joint venture agreement. The investment bank and its investment professionals will afford the firm an in depth analysis on the acquisition and merger options and recommend the appropriate structure to be taken. An investment bank also offers advisory services such as business valuations, strategic planning, financial restructuring and other financial transaction opinions.

Also investment banking may refer to the branch in finance which particularly relates to the financial processes of underwriting, maintenance of markets, and distribution. The early history of investment banking started from the ancient civilization of the ancient Greek and Roman society where these societies extended long term loans to certain governments and industries. Sometime in the 12th century, the investment banking was particularly restricted to financing governments such as that of the Lombard banks that were located in Italy. In Great Britain, investment banking developed through the merchant banks and acceptance houses which later on accumulated funds necessary for long term investments outside of Great Britain. Since then, the smaller banks already made several contributions in investment banking. Most of the smaller banks are private banks which were generally family-owned banks or finance companies such as the House of Rothschild. Among the largest investment banks at present are found in Europe, in the United States and Japan. In the United States, the investment banking originally concentrated on the trade of railroad bonds. Modernization of investment banking happened largely in the 21st century due to the many scandals that involved the investment banking which includes the lack of safeguards in some of the investment banks to protect the investment. The entry of small investment banks and their protection were made more secure when the Sarbanes-Oxley Act was enacted.

The small banks are able to provide the small investors with the assistance that they need especially now that most of the bigger banks are preoccupied to cater to big investors. With the presence of small scale to medium scale investments, smaller banks provided them with the kind of assistance that investors need such as the investment banking services offered to larger investors. At present, many governments are strengthening the smaller banks and the small investments in recognition of the fact that these are able to contribute and to affect the national economy.
